CANCELLATION POLICY: Agreements are non-cancellable. If written cancellation is received from Exhibitor on or before June 15, 2022 ("Early Termination Date"), 100% of the commitment will be released. Booth cancellations after August 15, 2022 ("No Refund Date") will be liable for the entire booth fee, even if the booth space is resold. SPONSOR AND EXHIBITOR DESCRIPTION: Sponsors and exhibitors will be asked to submit a 50 word company/ organization description. After this contract has been accepted by Faces & Voices, you will receive an email asking you to submit information for the Conference Program. EACH 10X10 BOOTH INCLUDES: Company name and description in the conference program and Faces & Voices website if signed before program deadline, two (2) full conference registrations and two (2) booth personnel badges, 6' draped table, (2) chairs, a wastebasket, and standard carpet. PHONE, ELECTRIC, SHIPPING: No phone, electric, decorations, or shipping is included with your exhibit space. Forms for ordering these services, as well as other items for your booth, will be available approximately 2 months prior to the event. WIFI: Free WiFi is available throughout the St. Paul River Centre. WiFi includes a 5 Mbps connection and unlimited data transfer. SIGNATURE OF ACCEPTANCE: By signing this application, you confirm you have read the terms and conditions of the contract. TERMS AND CONDITIONS: Included in and made a part of this contract are the terms and conditions appearing on page 2. ENTIRE AGREEMENT. These Terms and Conditions along with the Contract identified above (the "Contract") (these Terms and Conditions and the Contract may be collectively referred to as the "Agreement") with regard to the Faces & Voices 20th Anniversary Summit and America Honors Recovery Gala October 2-5, 2022 (the "Event") merge, integrate and supersede any prior negotiations and agreements be- tween the parties, whether written or oral, concerning the subject matter hereof and constitute the entire agreement by and between Exhibitor and Faces & Voices. Any use of the phrase "these Terms and Conditions" shall be deemed to include the Contract to which these Terms and Conditions are attached or to which these Terms and Conditions relate. COMPLIANCE WITH LAWS. Exhibitor and Faces & Voices shall comply with all applicable federal, state and local laws, statutes, ordinances, rules and regulations ("Law(s)") and any rules and regulations that may be promulgated by Faces & Voices and/or the Conference and Exhibition Venue from time to time, including, without limitation, the Exhibition Services Manual. Exhibitor and Faces & Voices shall obtain, at each's sole expense, any and all permits and/or licenses necessary for the Conference and Exhibition. Exhibitor and Faces & Voices are committed to conducting business with the highest degree of ethics and integrity. As such, each party will comply with the letter and spirit of all applicable local and international laws and regulations such as the US Foreign Corrupt Practices Act, the UK Bribery Act 2012 and all other applicable anti-corruption laws, as well as any laws implementing the UN Convention Against Corruption and the OECD Anti-Bribery Convention. ASSIGNMENT OF EXHIBITION SPACE. Faces & Voices will use good faith efforts to accommodate Exhibitor's request for Exhibition Venue space ("Space"). Faces & Voices shall notify Exhibitor of the location of its Space by delivering to Exhibitor a Notice of Space Assignment. If Faces & Voices cannot accommodate Exhibitor's Space request, Faces & Voices will notify Exhibitor of available remaining Space. Exhibitor shall have the right to select a Space from such remaining Space. Such remaining Space shall be assigned on a first- come, first-served basis. Faces & Voices shall assign the Space to Exhibitor for the period of the Conference and Exhibition, provided the Exhibit Venue is made available to Faces & Voices for such period. Such assignment shall be made for the Conference and Exhibition identified in the Contract and shall not imply that the same or similar space will be held or offered for future Conferences and Exhibitions held by Faces & Voices reserves the right to modify the Floor Plan, in its sole discretion, as may be necessary for the best interests of the Conference and Exhibition and for the safe and efficient operation of the Conference and Exhibition. RELOCATION. Although it is the intention of Faces & Voices to make permanent assignments of Space, Faces & Voices may have to relocate Exhibitor's Space to a dif-ferent location on the Floor Plan. In the event of relocation, Faces & Voices shall promptly notify Exhibitor of such relocation. PAYMENT. Exhibitor shall pay to Faces & Voices the full contract price (the "Fee") no later than 30 days from invoice date or two weeks prior to the beginning of the Conference & Exhibition, whichever occurs first, unless an alternative payment plan is agreed to in writing. If Exhibitor fails to make such payments, Faces & Voices shall have the right to immediately terminate the Contract and rent the Space to another exhibitor, or eliminate or maintain vacant the Space without further obligation to Exhibitor,provided, that Exhibitor shall not be relieved of any of its obligations under these Terms and Conditions, including, without limitation, its payment obligations. TERM; TERMINATION. This Agreement shall be valid for a term of one (1) calendar year. Faces & Voices shall have the right to immediately terminate the Contract if: (A) Exhibitor breaches any of these Terms and Conditions; (B) Faces & Voices determines, in its sole discretion, that Exhibitor is not eligible to participate in the Conference and Exhibition or Exhibitor's products and services are not eligible to be displayed at the Conference and Exhibition; or (C) Exhibitor's employees are on strike and are picketing or otherwise demon- strating in the vicinity of the Exhibition Venue during the period of the Conference and Exhibi- tion. If Faces & Voices elects to terminate the Contract, Faces & Voices shall have the right, in addition to any other remedies it may have under these Terms and Conditions or at law or in equity, to close the exhibit located in the Space, repossess any property of Faces & Voices or the Venue Provider (as defined below) used by Exhibitor, and remove Exhibitor's property from the Space and Exhibition Venue. Exhibitor may terminate this Agreement without cause by providing written notice to Faces & Voices. CANCELLATION AND WITHDRAWAL. Agreements are non-cancelable. If written can- cellation is received from Exhibitor on or before August 31, 2022("Early Termination Date"), 100% of the commitment will be released back to Exhibitor. Booth cancellations after October 1, 2018 will be liable for the entire booth fee, even if the booth space is resold. If Exhibitor desires to cancel or withdraw from the Conference and Exhibition, Exhibitor shall immediately notify Faces & Voices of such decision in writing. In such event, Exhibitor shall forfeit all exhibitor and technical registrations, any priority points that would have been acquired by Exhibitor as a result of its participation in the Conference and Exhibition, as well as any items offered with the Space. Exhibitor will be subject to the provisions under the TERMINATION section of this contract. ASSIGNMENT AND SUBLETTING OF SPACE. Exhibitor shall not assign, sublet, or share all or any portion of the Space, or display any third-party equipment, materials and/or services, without the prior written consent of Faces & Voices. CONFLICTING MEETINGS AND SOCIAL EVENTS. In the interest of the success of the Conference and Exhibition, Exhibitor agrees not to extend invitations to social events, call meetings, or otherwise encourage absence of any other exhibitors, registrants or members of Faces & Voices from the Conference and Exhibit at any time during the Conference and Exhibition, except on those days and during those times that Faces & Voices designates for such activities. LIMITATION OF LIABILITY. THE ASSOCIATION'S LIABILITY TO EXHIBITOR HEREUNDER SHALL NOT, UNDER ANY CIRCUMSTANCES, EXCEED THE AMOUNTS PAID TO Faces & Voices BY EXHIBITOR PURSUANT TO THE CONTRACT. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES REGARDLESS OF THE THEORY OF RECOVERY UPON WHICH SUCH DAMAGES MAY BE BASED AND REGARDLESS OF WHETHER OR NOT THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF THE SAME. INDEMNITY. Exhibitor shall indemnify, defend and hold harmless Faces & Voices, its directors, officers, employees, agents, service contractors, and the owner, lessor and/or manager of the Exhibition Venue (the "Venue Provider") from any and all liability, damage, cost, or expense arising out of or connected with: (A) the death of, or injury to, any person visiting or using Exhibitor's Space, or any loss, theft, damage or injury to property, resulting directly or indirectly from any act or omission of Exhibitor, its employees, agents or contractors; or (B) the failure of Exhibitor to comply with any of these Terms and Conditions or the terms and conditions of the contract entered into by Faces & Voices and the Venue Provider. By signing the Exhibit and Sponsor Contract (page 1). Faces & Voices agrees to indemnify and hold harmless Exhibito and all of its directors, officers, employees, and agents from and against any an all claims, actions, suits, proceeedings, liability, loss, damages judgements, and expenses (including court costs and reasonable attorney's fees) arising directly or indirectly out of breach by Faces & Voices or any of Faces & Voices' employees, directors, officers, and agents in connection with these Terms and Conditions and/or the Contract. THE EVENT. The Fee is provided on the understanding that, whilst Exhibitor provided this Fee, Exhibitor is not involved in the organization of the meeting, the agenda, or overall content, nor is Exhibitor involved in the selection of attendees or speakers (other than Exhibitor's own speakers, as applicable), nor in how such Fee is used; all of which remain within Faces & Voices' responsibility and control. Notwithstanding this, it is noted that in return for the Fee we will obtain the benefits described in the Contract (the "Agreement Benefits"). Exhibitor grants Faces & Voices a limited, revocable, non-transferrable, and non-sublicensable license to use Exhibitor's marks, logos, and name (collectively, the "Marks") provided hereunder for the duration and sole purpose of the Event and Faces & Voices may not manipulate or alter the Marks in any way without Exhibitor's prior written approval. FACES & VOICES REPRESENTS AND WARRANTS THAT: 1. Faces & Voices will immediately contact Exhibitor if any circumstances change regarding the Event, Faces & Voices understands Exhibitor reserves the right to withdraw Fee if these changes mean that Exhibitor can no longer sponsor the Event. In the event Fee is withdrawn pursuant to this Section 8.b.i, Faces & Voices agrees Exhibitor is entitled to a full refund of any monies paid which shall be refunded within thirty (30) days of such withdrawal. 2. Faces & Voices will comply with, and Faces & Voices will ensure the Event complies with, all applicable laws, regulations and rules (including local laws and regulations in the country of the Event) regarding sponsorship received from third parties such as pharmaceutical companies. 3. Faces & Voices has sought sponsorship from various parties to secure multiple sponsorships, and acknowledges Exhibitor has never sought to be the sole sponsor of the Event. 4. This Agreement is a stand-alone arrangement, save as described above, and in no way is Faces & Voices required to undertake any activity or service for Exhibitor or Exhibitor's products (including any promotion, endorsement or other recommendation of Exhibitor products). 5. Any time for entertainment or recreational activity organized by the Event organizer is clearly secondary to the time spent on the educational program. 6. The Event takes place at a venue that is conducive to an educational exchange among the attendees. 7. The Fee is appropriate, in Faces & Voices' experience and expertise, given the size and scope of the audience, duration, and location of the Event, the sponsorship benefits and entitlements. 8. On no account is this Agreement an inducement on Faces & Voices or any of Faces & Voices' members to prescribe, supply, administer, recommend, buy or sell any of Exhibitor's products. Faces & Voices acknowledges and will comply with Exhibitor's Code of Conduct & Anti-Bribery Policies at http://indivior.com/corporate-governance/conduct-policies/ (including restrictions on making prohibited payments) as amended from time to time and will promptly report to Exhibitor any violation of such policies. 9. Faces & Voices will be transparent in the disclosure of the Fee, publicly demonstrating the Event has been sponsored by Exhibitor (including to no less extent than that specified in the Agreement Benefits), and will not prevent, nor attempt to prevent, Exhibitor to disclose Fee and Agreement Benefits as it deems fit and appropriate (including the name of Faces & Voices' organization, nature and amount of Agreement, and disclosure to national authorities and/or publication on our website), for purposes including, but not limited to, compliance with the Physician Payments Sunshine Act (42 USC § 1320a-7h) and implementing regulations (42 C.F.R. Part 40, Subpart I) as may be amended from time to time, and/or similar federal, state and local laws and regulations. SCREENING. Faces & Voices represents and warrants that neither Faces & Voices nor any of its officers, directors, employees or subcontractors performing Services under this Agreement: (a) has been convicted of or is under investigation for an offense related to any federal, state or international anti-bribery or corruption laws; or (b) has been excluded from participation in any federal healthcare program (as that term is defined by 42 U.S.C. § 1320a-7b(f)) or is currently listed on the U.S. Department of Health Office of Inspector General's List of Excluded Individuals or Entities; or (c) has been convicted of any crime that could result in exclusion from federal health care programs under 42 U.S.C. §§ 1320a-7, 1320-7a; or (d) has been excluded, suspended, debarred, or is otherwise ineligible to participate in federal procurement or non-procurement programs, or is currently listed on the General Services Administration System or Award Management; or (e) has been, will be, or are currently the subject of a proceeding that could lead to their or their employees, agents, or subcontractors becoming a debarred individual or debarred entity under Section 306 of the Food Drug and Cosmetic Act (21 U.S.C § 335a); or (f) is on any of the FDA Clinical Investigator enforcement lists, including without limitation: i. the Disqualified/Totally Restricted List, or ii. the Restricted List, or iii. the Adequate Assurances List, or iv. is subject to an ongoing disqualification proceeding as defined by FDA. Faces & Voices further agrees that if, at any time after execution of this Agreement, it becomes aware of any circumstances that may affect the accuracy of the representations, or that it or any of its officers, directors, employees or subcontractors performing Services under this Agreement has become or is in the process of being charged, convicted, debarred, excluded, proposed to be excluded, suspended or otherwise rendered ineligible, or is on an enforcement list, Faces & Voices will immediately notify the Exhibitor in writing via email to ciacompliance@indivior.com and a hard-copy sent to Indivior Inc., Attn: Chief Compliance Officer, 10710 Midlothian Turnpike, Suite 125, North Chesterfield, VA 23235. Faces & Voices understands that debarment or exclusion may result in termination for cause and for a material breach of this Agreement. EXHIBITION HOURS AND DATES. Hours and dates for installing, constructing, operating, displaying and dismantling exhibits shall be those specified by Faces & Voices in the Exhibitor Services Manual. All exhibits must be open for business during exhibit hours. Under no circumstance shall the dismantling or packing of an exhibit begin before the official close of the Conference and Exhibition. EXHIBIT DISPLAYS. CARPET OR FLOOR COVERING REQUIRED. Exhibitor's entire exhibit shall be confined to the Space as identified in the Floor Plan, and under no circumstances shall merchandise, equipment, trunks, cases or packing materials be left in any aisle or other-wise block access to any other exhibit or entrance or exit of the Exhibition Venue. No trunks, cases or packing materials shall be brought into or out of the Space during exhibit hours. No signs, advertising devices or merchandise shall be displayed outside the Space, project above or beyond limits of the Space, or be pasted, taped, nailed or tacked to walls of the Exhibition Venue. The exhibit hall is carpeted with standard grade carpeting. UNION LABOR. Exhibitor shall comply with all union regulations applicable to the installation, construction, operation and dismantling of its exhibit. FIRE RULES. Exhibitor shall not pack merchandise in paper, straw, excelsior or any other flammable material. All cartons stored in the Exhibition Venue shall be emptied of contents. Exhibitor shall use no flammable decorations or covering for display fixtures, and all fabrics or other material used for decoration or covering shall be flameproof. If required by Law, Exhibitor shall have on hand in its Space, a notarized affidavit establishing that its display material has been treated during the past year by an approved chemical. All wiring devices and sockets shall be in good condition and meet the requirements of Law. PHOTOGRAPHS. No photographs of any Exhibition Venue space, including Exhibitor's Space, shall be taken without the prior written consent of Faces & Voices and the Exhibitor. PLAYING OR REPRODUCTION OF MUSIC. Exhibitor shall not provide or permit the use of music in any form or at any time unless: (A) if the music is copyrighted, Exhibitor shall in ad- vance obtain and provide a copy to Faces & Voices of the written license to use said music at the Exhibition Venue from the owner of the copyright of said music, and (B) whether the music is believed to be copyrighted or not, Exhibitor shall obtain in advance from Faces & Voices a written consent to the providing of such music by Exhibitor. Exhibitor specifically agrees that in the absence of full compliance with (A) and (B) above, no music whatsoever, in any form, will be provided or permitted by it, and in the event of any copyright infringement claim arising with respect to the use by Exhibitor of music, all of the provisions of the INDEMNITY provision of this Contract will be applicable. Faces & Voices shall have the power to make any reason-able settlement, without the consent or approval of Exhibitor, to resolve any dispute which may arise between Faces & Voices and anyone attempting to enforce a copyright, which settlement shall be binding on Exhibitor insofar as holding Faces & Voices harmless and indemnifying Faces & Voices are concerned. Exhibitor expressly agrees that Faces & Voices may, at Exhibitor's expense, take any legal action appropriate to ensure compliance by Exhibitor with this Section, including the obtaining of any injunction against Exhibitor. FUTURE EXHIBITIONS. In addition to the Association's right to terminate the Contract pursuant to these Terms and Conditions, Faces & Voices may refuse to consider Exhibitor for participation in future exhibitions organized and held by Faces & Voices. INABILITY TO HOLD CONFERENCE; CHANGE IN SCHEDULED DATES. If because of war, strike, the destruction, construction or renovation of the Exhibition Venue, government order, terrorist act, act of God or other cause beyond the control of Faces & Voices, the Conference and Exhibition or any part thereof is prevented from being held, Faces & Voices shall be relieved of its obligations under these Terms and Conditions. In regard to Exhibitors, Faces & Voices shall determine and refund to Exhibitor its proportionate share of the balance of the aggregate exhibit fees received which remain after deducting actual and demonstrable, to Exhibitor's sole satisfaction, expenses incurred by Faces & Voices and reasonable compensation to Faces & Voices, but in no case shall the amount of the refund to Exhibitor exceed the amount of the exhibit fee paid by Exhibitor. In regard to Sponsors, Agreements are non-refundable. Faces & Voices shall determine the remaining aggregate value of the sponsorship fees as of the date of cancellation or postponement, and apply the remaining sponsorship value to an upcoming conference as agreed to by the parties. Exhibitor(s) and/or Sponsor(s) acknowledge and agree that Faces & Voices may be required to change the scheduled dates of the Conference and Exhibition as set forth in the Contract for reasons beyond its control or for reasons that, in the sole judgment of Faces & Voices, will benefit the Conference and Exhibition and the participating exhibitors and sponsors. In the event that Faces & Voices is required, or decides, to change the dates of the Conference and Exhibition, Faces & Voices will make its best efforts to notify exhibitors and sponsors in writing of such change at least sixty (60) days prior to the dates originally set forth in the Contract. SEPARABILITY; WAIVER; REMEDIES. If any part of these Terms and Conditions is found in- valid, the remaining provisions shall remain unaffected and enforceable. The Association's failure at anytime to require Exhibitor's strict compliance with any part of these Terms and Conditions shall not thereafter waive or reduce the Association's right to require strict compliance with the same or any other provision of these Terms and Conditions in any later instance. The remedies afforded Faces & Voices herein are cumulative and are in addition to all remedies Faces & Voices may be entitled to at law or in equity. JURISDICTION; VENUE; GOVERNING LAW.
