This SPEAKER CONSENT AND RELEASE AGREEMENT ("Agreement") is provided to Faces & Voices of Recovery, a nonprofit corporation having its principal place of business at 10 G ST NE Suite 600 Washington DC 20002, ("Faces & Voices of Recovery") by the speaker with respect to the presentation (the "Presentation"). In consideration for my participation in the Event and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, I agree to the following with respect to the Presentation at which I have been offered the opportunity to be a speaker by Faces & Voices of Recovery:

1. Agreements

Responsibilities. I agree to present my Presentation on the date and time as it is laid out in my Presentation description and/or agreed upon with Faces & Voices staff.

I agree to meet all deadlines outlined by Faces & Voices of Recovery.

During my Presentation, I agree to not promote my services, my company, or my product, in which I have a commercial interest, except under terms already agreed upon between myself and Faces & Voices of Recovery.

I will notify Faces & Voices of Recovery immediately in the event that an emergency would prevent me from meeting my obligation as a speaker.

I agree to submit my final Presentation and/or supplemental resources and materials ("Materials") to be distributed to participants or members. I will notify Faces & Voices of Recovery, if I do not want my Presentation, supplemental Materials distributed or made available to participants or members.

I agree that all technology and software for the Presentation will be provided and hosted by Faces & Voices of Recovery.

I agree that Faces & Voices of Recovery will manage the marketing of this Presentation and the Event. Any additional marketing and promotion done by the speaker will be at their own expense and at no cost to Faces & Voices of Recovery.

2. Intellectual Property Rights to Recording and Materials

I give permission to Faces & Voices of Recovery to record my entire Presentation, including my likeness, voice and verbal statements, on film, videotape, and audiotape (collectively the "Recording"). I acknowledge that Faces & Voices of Recovery, in capturing my Presentation, will become the copyright owner of the Recording. To the extent I have any rights in the Recording, I hereby assign all my rights, title and interest in and to the Recording to Faces & Voices of Recovery. I hereby provide Faces & Voices of Recovery consent to display and provide the above Recording and related Presentation materials via the Faces & Voices of Recovery website and/or virtual platform, including:

•The video and audio Recording of my Presentation
•The use of my name and/or image in photos, video, internet transmission or other media in connection with promoting the Presentation and the Event
•The right to charge for access to the Recording

I also grant Faces & Voices of Recovery and its successors, assigns, and licensees a royalty-free and unlimited license to broadcast, display, reproduce, edit, exhibit and distribute the Recording, any and all written or verbal material I submit as part of my Presentation ("Materials"), and any derivative works created from or with it, over television, cable, the Internet, by creating CDs or DVDs, or by any other communication medium. Faces & Voices of Recovery also retains the right, at its sole discretion, to choose whether to archive the footage of the Recording, and whether to use it for any other purpose. I acknowledge that in accordance with the license provided herein Faces & Voices of Recovery has the right to display and provide the Recording and Materials via the Faces & Voices of Recovery website.

I give permission to Faces & Voices of Recovery to use the Recording, my name, likeness, voice, and biographical information and any other information about me in connection with the advertising, promotion and public relation efforts relating to the Presentation and the Event in any and all media, now known or hereafter created without any compensation to me.

3. Representations

I warrant and represent to Faces & Voices of Recovery that:

My Presentation and Materials are my original work, factually accurate, and contains nothing libelous or otherwise unlawful;

I am the sole owner of every aspect of my Presentation and my Materials, or if my Presentation or my Materials require permission, including, but not limited to, pictures, clip art, songs, sounds, video, and written/printed content, I have obtained a written permission or license from the copyright proprietor;

The Presentation and Materials will not infringe on the rights of others, and that I have full power to grant the licenses and enter into this Agreement.

4. Compensation

I understand and agree that I am NOT receiving monetary compensation from Faces & Voices of Recovery in connection with my performance at this event.

5. Force Majeuere and Indemnification

I understand that if the Presentation or the Event is prevented due to acts of God, government restrictions, flood, fire, earthquake, epidemics, shortage of adequate power or transportation facilities, embargoes, war, invasion, hostilities, riots or other civil unrest, strikes, labor stoppages or slowdowns, or other industrial disturbances, or any other cause beyond the reasonable control of myself or Faces & Voices of Recovery which makes it commercially impracticable, illegal, or impossible to hold the Presentation or Event, either myself or Faces & Voices of Recovery shall not be responsible to the other party for failure or delay in performance of its obligations to conduct the Presentation or the Event. Either party will immediately notify the other if the Presentation or Event cannot move forward as planned.

I agree to indemnify, hold harmless, and defend Faces & Voices of Recovery from and against any losses, liabilities, damages, costs, and expenses, including reasonable attorneys’ fees and all other costs of defense, arising out of any third-party claim or threatened claim against Faces & Voices of Recovery arising out of any actual or alleged breach of the representations or warranties made by me in this Agreement.

6. Code of Conduct

7. Independent Contractor

It is understood and acknowledged that I am providing the services and granting additional rights to Faces & Voices of Recovery under this Agreement in the capacity of an independent contractor and not as an employee or agent of Faces & Voices of Recovery. I acknowledge and agree that I have no authority to commit, act for or on behalf of Faces & Voices of Recovery, or to bind Faces & Voices of Recovery to any obligations or liability. I further acknowledge and agree that I shall not be eligible for and shall not receive any employee benefits from Faces & Voices of Recovery and shall be solely responsible for the payment of all taxes, FICA, federal and state unemployment insurance contributions, state disability premiums, and all similar taxes and fees relating to the fees earned hereunder.

8. Term, Termination and Survival

The term of this Agreement will commence on the Effective Date and continue until completion of the Presentation or cancellation of the Event, unless sooner terminated in accordance with the provisions of Section 9.

Faces & Voices of Recovery and I may mutually agree to cancel or reschedule the Presentation based on registration. This Agreement shall be terminated upon the cancellation of the Presentation.

Faces & Voices of Recovery shall have the right to cancel the Presentation or Event and terminate this Agreement at any time and for any reason, effective immediately, on written notice to the undersigned.

The rights and obligations of the parties set forth in Section 11, and any right or obligation of the parties in this Agreement which, by its nature, should survive termination or expiration of this Agreement, will survive any such termination or expiration of this Agreement.

9. General

This Agreement may not be amended except by written instrument signed by Faces & Voices of Recovery. Unless you are subject to a separate agreement with Faces & Voices of Recovery, this Agreement constitute the entire agreement and understanding among the parties with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, understandings, inducements and conditions expressed or implied, oral or written, of any nature whatsoever with respect to the subject matter hereof. This Agreement shall be binding upon and inure to the benefit of the parties, their successors, and assigns. This Agreement may not be assigned without Faces & Voices of Recovery’s express, prior written consent which may be withheld at Faces & Voices of Recovery’s sole discretion. No failure to exercise, or delay in exercising, any right operates as a waiver thereof. Except for the parties, their successors and permitted assigns, there are no third-party beneficiaries under this Agreement. This Agreement and the resolution of any dispute related to the terms of this Agreement shall be governed by and construed in accordance with the laws of the District of Columbia, without giving effect to any principles of conflicts of law provisions.

Any provision of this agreement which is prohibited or unenforceable shall be ineffective only to the extent of such prohibition or unenforceability without invalidating the remaining provisions of this Agreement.
